Nelsen Law Offices, P.C. and its attorneys have experience representing a wide variety of businesses and individuals in litigation cases in Utah courts.  Our experience involves representing clients in claims brought by individuals and businesses stemming from contracts, torts, constitutional and statutory violations.  We have procured millions of dollars in judgments for our clients through litigation, including a recent $3,544,567.76 judgment obtained for a real estate lender following a bench trial.  Our goal is to provide sophisticated representation in a cost-effective manner. Corporate Law

Real Estate

The firm actively represents developers, investors, lenders, general contractors, subcontractors and others in the purchase, sale, entitlement, development, financing and leasing of real estate.  The firm also has significant experience dealing with title, title insurance, lien perfection and priority issues and  land use matters.  The firm’s founder, Jason Nelsen, has extensive experience in all aspects of real estate law as a result of his tenure as Assistant General Counsel for one of the largest privately held real estate developers and homebuilders in the United States.  The firm routinely handles both simple and complex real estate transaction and litigation matters for its clients.

Private Placements of Securities

The firm is experienced in all aspects of private placement transactions.  The firm’s founder, Jason Nelsen, has served as lead counsel on numerous large private placements of securities.  Our services and experience are broad enough to accommodate offerings for a few thousand dollars or tens of millions of dollars.  Our approach to private placements is to  guide clients through the offering process from beginning to end.  Some of the firm’s services include pre-sale due diligence, counseling on alternative offering structures and risk mitigation planning, drafting of a  private placement memorandum that complies with state and federal regulatory requirements, instruction on proper offering and sales protocol, filing of the proper state and federal exemption materials and closing the offering upon completion.  The firm also understands that funds may be limited for those seeking to raise capital for a new business venture.  The firm regularly accepts flexible and unique fee payment arrangements to help clients ease the high upfront cost typically associated with first rate private placement work.

Consumer and Commercial Collections

The firm assists clients in cases involving all aspects of consumer and commercial collections.  The firm and its principal have extensive experience with all of the following issues that typically arise in the creation and collection of debts: drafting enforceable and legally compliant contracts; drafting collection letters and notices that are compliant with the Fair Debt Collection Practices Act; drafting complaints, summons and other pleadings, using motions and discovery tools to circumvent the costs and time delays associated with trial; asserting claims against secondary obligors such as guarantors; obtaining judgments and awards of interest, attorney’s fees, and court costs;  setting aside default judgments; conducting supplementary proceedings and debtor examinations; obtaining and collecting based on writs of execution, writs of attachment and writs of garnishment.  The firm’s debt collection clients include payday lending companies, private commercial lenders, dental offices and landlords just to name a few.

Estate Planning and Probate

The firm assists individuals with estate planning matters including the drafting of wills, living trusts, durable powers of attorney, health care powers of attorney and living wills.  The firm is able to serve clients with estates of all sizes.  For large estates requiring specialized expertise and experience, the firm will associate with legal counsel that has the appropriate experience to properly serve the client.  The firm’s is also experienced in handling probate matters and enjoys helping clients create NFA Gun Trusts.

Appellate Litigation

A favorite practice area of the firm is handling appeals to the Utah Court of Appeals and the Utah Supreme Court.  This is practice area the firm is actively working to grow.  Appeals to these courts typically involve complex issues and unique applications of the law.  The firm enjoys the challenges these cases present and the opportunity they create to shape the law on the issues being appealed.

Commercial Finance and Lending

Administrative Law Appeals

We have significant experience with appealing medicare claims in hearings before administrative law judges.  This experience includes, pre-appeal case evaluation, appeal submission and participation in appeal hearings.  The firm’s founder, Jason Nelsen, currently serves as both outside and general counsel for durable medical equipment suppliers.
